Purpose of the voucher
To encourage companies to:
- carry out activities for the preparation and implementation of the transfer of ownership; the purpose of the measure is to preserve jobs, ensure that the business entity continues to operate independently or in another form (merger, division, etc.), and to increase its competitiveness. Transfer of ownership under this public call means:
- the transfer or sale of at least 51% of the company’s share capital or the transfer of the necessary share of the capital company in the case of transfer to a family member,
- the transfer of the company (sole proprietor) to the acquiring entrepreneur in accordance with Article 72a of the ZGD-1.
The subject of the public call is the co-financing of eligible costs of activities related to the preparation of the business entity for the transfer of ownership, the direct implementation of the transfer of ownership, and the raising of the competences of the acquirers of business entities.
Amount of funding
- 60% co-financing of eligible costs
- Minimum subsidy: EUR 500.00
- Maximum subsidy: EUR 3,000.00 for each set of activities or a maximum of EUR 9,000.00 for all three sets of activities together
Funds available
- EUR 0.7 million for the period 2024–2028
Eligible applicants
- micro, small and medium-sized enterprises based in the Republic of Slovenia, which, as legal or natural persons, are engaged in economic activity and are organised as companies or self-employed individuals or cooperatives
Eligible costs
- 1st set of activities: Costs of activities related to the preparation of the SME for the transfer of ownership
- 2nd set of activities: Costs of activities related to the implementation of the transfer of ownership
- 3rd set of activities: Costs of activities related to raising the competences of the family business acquirer
VAT is not an eligible cost.
SMEs can obtain funding for each set of activities only once (1x) in the period 2024–2028, and can submit an application for each individual set separately or for several sets together.
SMEs can claim costs incurred in the period from 1 1. 2024 to 30 9. 2028.
Activities that will be carried out and paid for within the eligibility period specified in the co-financing contract will be eligible for co-financing. The beneficiary must carry out all activities before submitting the payment request.
Special conditions
- When selecting an external contractor, the SME must act economically and obtain the service at market price
- The SME must have at least one (1) employee during the project
- Before submitting the application, the SME must obtain Form 1: Preliminary confirmation from SPIRIT Slovenia regarding the identified activities of the SME in the field of transfer of ownership, which is a mandatory attachment to the application.
- In the application, the SME must state an external contractor selected from the register of external contractors for the transfer of ownership (hereinafter: the register). For each set of activities, the SME may only select an external contractor who has references in the register for activities that will be the subject of co-financing under this public call. The register of external contractors is maintained by SPIRIT Slovenia and published on the website https://evidence.spiritslovenia.si.
- Activities in the field of transfer of ownership must not be carried out before 1 January 2024
- The selected external contractor cannot be an applicant under this public call, at the same time the applicant cannot be an external contractor to other applicants
Tender deadlines and method of submitting applications
- The application is submitted electronically via the Fund’s ePortal
- The deadline for submitting applications is until 31 3. 2028 or until funds are exhausted
